An Employer’s and An Employee’s view on company’s acquisitions

“There are always two sides to a coin”, likewise every decision made or everything in this world has more than at least one side. Like if you consider the very famous topic of terrorism, it has more than one side. One side says it is purely inhuman activity and people killing people is a cruel activity. Another side says, terrorism is a way to bring attention of the world to show the problems that are not known/cared by the world. Another side or a majority I know says it is done for the God (I don’t which god asks terrorism as the source of sacrifice to him. If so, I would definitely want to have video chat with him (at least with proof)).

Coming to the topic, this was chosen when I met one of my undergrad friend today, a year and a half after my graduation. She is an electronics engineer working in a Multi National Company situated in Bengaluru, Job Hub of Karnataka and almost Hub to many IT companies and MNCs . During my conversation with her, I was told that her company was being sold at auction and due to this change there are many issues in company. Being a business student, I could relate to the senior level decision to different ideas but an employee’s view, I was able to find out only when I spoke to her. As I said, everything in this world has two sides, Business acquisition does have two sides.

From Employer’s view (Or the Chess King’s view):

As an employer, the main aim would be to bring on the profit, how much ever it can be. Being a business student, I am taught to find the customer’s benefit, the price affordable by customer, customer this, customer that, etc etc etc. Eventually, the profit earned is going the get the benefit of all. All those customer parts speaks about the product, but ultimately, at the end of the day its money.

Money is important to everyone to do everything in this world. Of course cinematically speaking money cannot buy everything. As movie often quotes “It cannot buy friendship, love, trust” etc etc(true love- I’m okay.. But generally love.. I don’t see it). Lets forget those things to cinema and concentrate on the remaining 99% things which has everything to do with money.

Almost every businessman works for a high profit and does business in that way. Some ethically and some unethically. So from a employer or a businessman’s view selling his company for a much higher cash than he could earn with it, taking all its current status into account, he/she would definitely go into signing this deal.

Lets say there is company bought at 250 million dollars and after four years there is an option to sell the company at 1 billion dollars. Putting yourself in shoes, wouldn’t you sell the company? Everyone would go for it. At least think of selling it unless all business transactions are done in old 500 and 1000 rupees note.

Or there might be a situation where the company might just take a huge hit down the road in a few years and pick up a huge loss which is far worse than the current state. Anyone in his shoes would want to sell it off and escape from the tragedy. So an employer’s view mostly is and will be a selfish one (like every other human being). But some comfort can be done for the employees before/during this transition, because these are people who have worked hard for and under him/them for prior periods.

From an employee’s view (Or a Chess soldier’s view):

A company’s head or headquarters being changed is like getting a new husband or wife after spending, lets say 3 to 4 years of married life already. You could not know the benefits/danger of getting it. In this case you don’t have much of a choice in marrying him/her unless you would get out and be single again (unemployed).

“The problems or issues faced by us (employee) due to this transition are not cared by the owner or the top level management. They don’t even wish to solve basic issues on this” says my friend. The issues mentioned were high possibility of layoff, change in work culture – technical, financial, physical, etc..

Layoff is a tremendous issue. Job safety is very critical in current scenario to each and everyone around the world. You work day and night to company and when you know you don’t have a job safety, the productivity falls drastically. Psychologically safety is primary priority in human’s mind. Until it is compromised, productivity can be 100%, even add another 10% to it. But if its compromised, then productivity of 50% is a billion dollar dream of expectation.

But according to a new company, of course to achieve its breakeven profit (Basic par level profit) sooner, it will try to reduce the number of employees and other cost cut options and increase the pressure on the employees. So, at least, a company undergoing such transition can make sure of the job safety of its employees.

Of course work culture both physical and technical will have to change according to the new head or headquarters. But this does have an effect over the employee’s productivity. So if the changes are brought in slowly, it would neither affect the company or its existing employee.

Financial cultural change- A company will have policy to hike up the salary of its employee by certain percentage once in few years or months, using a certain percentage of money for special welfares of the employees like LTA (leave travel allowance),etc. It differs from company to company. One company might give hike of 10% once in a year, another might give 21% once in two years. This is another issue.

Possible Solution (Maybe Audience’s View):

Unless all of its new plans are 100% winners and it suits the employees without affecting productivity, following most of the existing work’s culture and methods for initially at least a year would be a good idea. And then slowly applying the new schemes and policies can be implemented so that neither are affected.

And for an employee, of course changes are tough but in a modern day world, one has to be ready to accept all situation and adapt to all. If you get an information, say your company might get into above situations, start preparing yourself to all possible options. Trying new jobs on the side or finding out methods to prove your worth in the company to new head or headquarters can make yourself ready for your future.

Even if none of the above things could be done and if all are failures. Be single (unemployed) for sometime. No harm in it. Prepare yourself. You still have a lot of lot of life partners waiting outside.

Education – Frustration of an Indian..

Yeehaw !! Came to one of the most favourite topic of almost everyone of my country. You lead with this topic, you will get a least of 5 different points from everyone where a minimum of 3 to 4 will be against the current education. One such intense topic is what is going to be discussed in the following. So buckle up and as my dear S.H says and I quote “The Game Is On..”.

Primarily what is education? Ofcourse wiki will have some beautifully crafted definition. But as far as I’m concerned, education is just acquiring knowledge and its logical sense. In current scenario, it is actually treated as a tool which puts you in a league according the level you have studied. Such as MBA comes under a league, MBBS is another league, Bachelor degree is another league,etc etc. Knowledge necessarily does not need the tool. But tool without the knowledge is utter waste.

Education In India (Or rather say Business In India):

Yes !! Education is more of business than service except in the rules and regulations of constitutions of Indian. They are still in service sector because, they have so many luxuries in tax and benefits. If business had more luxuries than education, school and colleges would have become officially business now. For a fact, there are actually  13 Lakh schools for 23 crore children in India which is approximately like 1 school for 177 students. And our faculty to student ratio is 1:35. But in our country we have at least 50 to 70 students in a class.How can a teacher concentrate twice the amount she actually can?

Schools :Or Process 1 – Scrolling up snake pit:

Yes. He/she can’t concentrate on every students. That’d be one reason why India has very few talents that are found. All a school or college or for the matter any educational institution aim is money. An LKG kid is paid 1 Lakh rupees fees. Damn it man. My UG degree under management quota had less fees amount than this. And yeah ! That’s another topic, Merit quota and Management quota !! I’ll catch up on this later.

Back to topic, I seriously want to ask a question to both school and parents. What is so specially received when 1 Lakh is paid for LKG ? Same a for apple, b for ball, c for cat etc etc right?? Or Do they say A for Audi and give the kid a ride in Audi ?? If so, I’m happy and I would definitely want to study again so that when B for Bentley or L for Lamborghini comes, I would have a good ride in it. If not, then money is being spent like water, literally.

And are they school children or porters working in railway stations. Have you ever carried their bag? Try it out sometime. It is like weight lifting. As if every children are being prepared for OLYMPICS..! Education is not calculated with number of books a children is taught with. It depends on the knowledge that a child gains during the process. These applies for students under 9th standard.

When you reach 9th standard or 11th standard, it is considered as 10th and 12th standard. You will be prepared for the board exams when you reach 9th or 11th. Nowadays, its just a formality to conduct 9th and 11th subjects and conduct exam. If asked, the reply would be to provide students with much more time to study the subjects. Actually they don’t study. They literally mug up the entire book in their mind(most of them). And at least 5 practice board exams are written before reaching the actual one where the student is like a well trained lion but not well educated.

Even now, I don’t know why I studied the physical structure of a bacteria and fungi or the practice in lab to create ammonium nitrate. I was not educated on the use of the above mentioned things. I was made to learn so that I will score good marks in my board exams.

Under-Graduation: Or Process – 2: From snake pit to lions den:

India has more engineers to the world forum. But why only few engineers are recognized in world? Its because India has more quantity of engineers than more quality of engineers. For almost a decade, if groom is an engineer, there are no questions asked by bride’s family at all. This got struck in many parent’s mind. So consequently all parents started to push their kids to engineering than all other streams.

Almost at certain stage it became a prerequisite factor to have their kid as engineer from every parent’s view. There was a saying said by most engineers including me. It was “INDIA IS ONE COUNTRY WHERE YOU BECOME AN ENGINEER AND THEN START TO THINK ABOUT FUTURE?”.

And quotas. Yeah. In India, only less than 7% do have entrance exam to enter college. The rest of the colleges depend on weight of your marks or weight of your family’s wealth. Despite of studying or mugging up the whole syllabus, if you score well and have a very good cut off marks in your board exam, you are eligible through merit quota. Well this is acceptable. If you don’t have enough cut off marks and if your family is wealthy enough to throw any money for your education, then you can also get the same admission in same college with a person of 100% cut off marks. This is something I cannot digest. If there are no management quotas, then there would be a high fall in quantity of engineers produced and high rise in quality of engineers produced.

Actually authentic Indian educational system was the Gurukulas. This was such an educational system that provided the pure knowledge to every students. This did not teach algebra and trigonometry by board but they taught respect and logical thinking by practical works. Ancient Indians were far better engineers compared to current day’s best engineer. From Raja Raja Cholan’s Tanjore temple to The Harappa’s and The Mohenjadaro’s, Ancient Indians could not be matched ever.

Only when these wrongly posed education system is changed, when true knowledge is being taught and when education is treated as service rather than business, India would improve and stand tall among the world nations.

Indian Marriages.. Love and Arranged..

Well well.. Lets get into some lovable topics now.. I’ve already vented out my anger in few issues. If I continue the same way, then my blog might take a hit.(Yeah.. I’m expecting at least a million viewers daily.. As said EXPECTING).. Jokes apart.. Lets see what is marriage and what should be marriage?? And also about love and arranged marriage concepts according to Indian Culture from me, a logical Indian’s view.

BTW let me give the DISCLAIMER here itself.. FOLLOWING CONTENTS ARE PURELY BASED ON MAJORITY OF INDIAN  PERSON’S MENTALITY AND MY VIEW. NO PERSONAL ATTACKS OR OFFENCE.

According to wiki, Marriage, also called matrimony or wedlock, is a socially or ritually recognized union between spouses that establishes rights and obligations between them, between them and their children, and between them and their in-laws. We’ll not get that complicated. As far as I am concerned a marriage is simple act of two persons getting together to love each other, be there for each other at all circumstances, make their own kin and have a happy life after.

Now from other view.. According to an Indian parent, WAIT WAIT.. There are two kind of parents in Indian culture or for a fact, even world’s culture. Bride’s parents and Bridegroom’s parents. This might not be found as a great difference in other cultures. But in India, it is fact of having advantage.

First lets go to arranged marriage land.. Like Disney Land:

Here, according to a bride’s parent, marriage is like a rugby touchdown or football goal of their lifetime. When you successfully get your daughter married to good gentlemen, then you are considered to be a grant winner.

Whereas according to bridegroom’s parent, it is a great business deal that is signed off. They believe that being a bridegroom’s parent, you are having a competitive advantage over your counterpart because you have a SON, a male gender person.(I know a bridegroom has to be male anyway.. But still). According to the groom’s wealth and salary, you can demand how much ever and what ever you want to the bride’s parents. This is actually called dowry.

So when both of these business person agrees to terms and conditions, that is the dowry, the business is signed successfully. By the way, this is final step. There are various steps done to achieve this final step. Since this is kind of business, we’ll speak in terms of business. Few of the steps this company merger are

  1. Exchange of Photos: The photos of bride and groom are exchanged to each other families like company’s portfolio is provided.
  2. Exchange of Ledger: The ledger here would be the horoscope of both the persons. If both ledgers are profitable or suitable to one another, then its success.
  3. Physical visit: Both parties visit counterpart’s house, like its viewed during a merger acquisition, visiting counterpart’s company.
  4. Background verification : A small background verification is done by either side to make sure the partner chose is a good choice.
  5. Terms and conditions & Negotiations : All terms of dowry are spoke and negotiations are done.
  6. Fixing merger date: Finally after all the above steps, the marriage date is fixed and all relations are called upon like all top stake holders and business partners are called upon for the sign up.

Finally after all process, marriage is completed as per the schedule planned and their cultural standards. And you would be spending a truckload of money in this process. But is this truly the meaning of marriage?? Should this be the way marriages are to be done?? Yes and No. It is a tad complicated solution.

The main advantage of arranged marriage over love marriage is the element of surprise. If you are lucky and if you get an awesome lovable person as your partner, then the surprise it provides you would be a magical feeling. In most cases this lasts at least till the end of honeymoon phase( First few months or a year max) despite having a lovable or psychic partner.

The main disadvantage would be the same advantage mentioned above. If there is a slight hiccup with your partnership, then it can be resolved because you are married already at that point and psychologically  you would work hard to repair it. Like it is tolerated upto 40% trouble in trouble to love ratio.(YEAH.. ENGINEER’S EFFECT) But if it is not a hiccup and its a life threatening disease, then you are screwed. You wouldn’t have had the option of analyzing the person prior to marriage like love marriages do.

Now to the love land.. Land of butterflies (As couples say, not me):

Love as defined by various couples and people around the world, is a wonderful feeling that you can’t express in words. Its a feeling where you have butterflies flying inside you. You tend to be satisfied in all forms in your heart when you are in love. You feel to have all the powers in the world, like combo of superman, batman, etc from DC comics or Ironman, Captain America, etc from Marvel comics, even though you will be the same person prior to love in all factors and there will be no zoo inside your body.

Love marriages are far different from arranged marriages in one main factor. The advantage. Here mostly neither of the parents have the advantage because the advantage is abducted from them and taken by the bride and groom in their hands. Its their wish on choosing their partner. Mostly it does not see any major background verification or any of the merger process steps (I Believe so).

In simple words love marriages are like finding heaven or hell on your personal choice. Here you really don’t have anyone to put the blame if its hell while in arrange marriage at least for your satisfaction, you could blame someone.

Here in this type, people meet, fall in love, at first or second or at any sight. Most of them keep it a secret from parents because its like dropping a Hiroshima bomb in Indian culture. So they roam around all lover’s spots which would also be few of the tourism spot of the locality. But wherever you are, a movie theater, an ice cream parlor and a park are common places for any lovers. They love or roam (however you choose) for about one to two year on average, have at least few fights between them, few romantic moments, share personal feelings, providing shoulder to each other all times, etc in this time period.

Then the news is announced to the respective homes. If parents are more broad minded on both sides, then this will be showcased as an arranged marriage without any of the merger process except step 5. But if parents are pure orthodox, then the marriage will mostly happen in a register office or any holy temple against all odd situations like threatening, sentimental black mailing, etc from parents and close relatives. And you don’t have to spend a truckload of money in this one.. Purse full of cash is good.

Main advantage of the love marriage would be the time getting to know about your partner prior to marriage. If there is no match between the partners, then they can very well decide on leaving each other, which is process what people call Break up. You have the opportunity to find the perfect match or at least your most compatible pair (BOTH ARE 99% IMPOSSIBLE IN ANY CASE OF MARRIAGE).

One disadvantage would be that loss of element of surprise. When you are in love, you are already living in honeymoon phase. Expecting the same after marriage is not something that can be easily brought back. The honeymoon phase is full of adrenaline rush which makes you blind in this tracks. But after marriage, the adrenaline rush couldn’t be maintained and that acts a reason for divorces being higher than arranged marriage.

One has a mentality of breaking up easily when they are in love marriage than arranged marriage because of the nature of marriage. In love marriage, its purely individual decision, so deciding to break marriage is simple because of maturity at that age and various other factors. Psychologically the tendency to adjust or working hard to repair and maintain relationship is very less because you would have already did that prior to marriage phase.

“Finally, should marriages be done in this or that method??” is the final question that will be raised in everyone’s mind. That purely depends on you and you only. Mine are just views on what it is..

On final note, I would say “Be it Arranged or Love marriage, it purely depends on one’s own personal interest take a marriage to success or failure”.

Hospital in India – Boon or Bane?

Wow.. This is actually a very good platform for my views or should I say a platform to vent out my anger ?? I guess it is both. Somethings could not be explained that easily. Life is that complicated like, let’s say India itself.

Hospitals.. When I say the word, first thing that will come to your mind would be the bill amount that you have to pay to it. May be if you are an youngster, then you might think of the nurses or if you are elderly person then you might think of your diseases and last days of life. Lets stick to the majority of rationally thinking people. Why is that ?? Aren’t Health and Education supposed to be given by Government to their citizens at cheaper cost? Especially Education!! Man oh man.. Frustrating to watch a parent pay 1 Lakh for LKG.. Yeah you are right.. 1 Lakh for a kinder garden baby. Well lets keep this topic for another day.

Back to healthcare, Government’s idea of privatization could have been really for the welfare of people or just to fill their own pockets in various other methods. But seeing current situation, every Indian citizen asks a question to himself (may be except the stake holder and their family of these hospitals), “Why don’t government interfere in this??”

Well they aren’t interfering and they wouldn’t interfere. For a fact they are giving permissions for newly opening hospitals even now. Now the next question would be “Why can’t government provide these features in their hospitals??”.. Yes they can and they do offer maximum services similar to private hospitals in it. But why aren’t government hospitals still preferred? One main reason is because of the ambience that they provide.

Like I said, photo proves that the ambience is a major factor. But this ambience has its price to be paid. For example, a heart surgery in government hospital costs 75000 to 1 lakh whereas in private hospitals it would be 2 to 2.25 Lakhs. Air conditioners, fridge, televisions and what else do you want?? All necessary features will be given. In fact a five star hotel might lose in competing to these hospital rooms for the ambience provided. But at slightly higher price and a disease. As if patients are tourists.

Now that comparison are known, why do people still go to private hospitals? It is due to their socioeconomic class and status. A misconception that people visiting government hospitals are poor runs among people of India. For a fact, its actually true. Poor people don’t have the luxury and they aren’t fools to spend their money lavishly in a private hospital for a similar medical service provided by a government hospital.

This ambience is possible in private hospitals because of the foreign investments in it. Millionaires of India and other countries invest in this and consider this as a business. Well, what do you expect from a businessman? He’ll definitely look for his profit than anything else. That is what happening in India. If you go in for a small scratch in your hand, you will have to pay a bill of, lets say  a minimum of 5000 with X-rays and scans and even a whole body check up. If you are a male with a fat belly, be careful when you enter a hospital because you might be taken inside ICU for caesarean looking out for babies. On the other hand Government hospitals runs on the tax money paid by these hospital owners. But do they pay ?? Another topic that can be discussed later.

On a contrary to every things said above, do you really think English medicines are necessary to India? India has a huge heritage of medicine in it. The herbal medicines are pure without any side effects and it purely cures the disease unlike English medicine which only suppresses the disease or problem for time being and giving additional benefits of side effects. Herbal medicine takes its time whereas English medicine takes less time. Our fast moving life culture has made us prefer the latter. It is slowly killing the medicinal heritage of India. At this rate, at one point India is gonna lose whole of its culture to westernization. Hope it does not happens. Now “Is hospitals in India- boon or bane”. I’ll leave it to your logical mind.

Is Tamil Nadu an illegitimate child of India ?? Jallikattu, Pongal holidays cancellation…

I have a doubt now.. Should Tamil Nadu people care for whole of India when Indian government doesn’t care them.? I’m sorry for above statement because I cannot blame 2.1 billion people for the few governing India. But seriously why does Indian government care Tamil Nadu as if it is an illegitimate child ??

Jallikattu:

Jallikattu also called as Eruthazhuvuthal or  manju verattu is a Tamil cultural event of controlling bulls which are unleashed at the starting point. These bulls are specifically bred for these events. Those bulls which could not be controlled are taken as winners and they are used in breeding with cows whereas those which could be controlled easily are used in other farming and agricultural purposes. Jallikattu has been a pride and cultural function held during festival of Tamil Nadu, Pongal.

Suddenly during past two to three years, an animal activist group called PETA is against this event stating that this event brings harm to bulls which are being put in game. That is where the major question lies. Why did PETA suddenly start caring about bulls? What is the difference between Spanish Bull fight and Jallikattu?

Actually for a fact, Spanish bull fight involves in stabbing the bull with weapon called as lance whereas jallikattu involves people climbing over the morrillo region and trying to control it without harming the bull. Now which one causes the harm to bull and why PETA does not question or complaint against them??Many cricketers and bollywood actors have signed petition against this issue. I have a doubt. How many of them even know what jallikattu is about?? Not many. There lies the politics in it.

India has been very rich in dairy farming, exports of milk products etc. When jallikattu is completely banned, then farmers wouldn’t spend money in raising bulls, which in turn would reduce the number of cows, reducing dairy farming and at last destroying the majority of dairy farming in India. This will also allow foreign companies to export dairy products to India increasing India’s import and attacking our GDP. There is saying that this is the main reason why PETA has been very much active in this problem.

This has agitated many Tamil people, especially the youngsters of the state. There were many posts against PETA in social media websites. Not just posts in social media platforms, people used this platform to collaborate common venues and arrange rallies in support of Jallikattu and against PETA.

Pongal Holidays:

Supreme Court on Monday announced a decision to move Pongal from ‘compulsory holiday’ to ‘restricted holiday’ . This decision irked a major tension in Tamil Nadu. This consecutive issues over Tamil Nadu’s culture has created a huge political question, “Why is always Tamil Nadu treated badly by the Central  Government??” First Jallikattu, then Pongal!! Attacking the culture of a state is very cheap..

Canada declared January to Tamil Heritage month while Prime Minister of Malaysia has already spoke and greeted about Pongal and its specialty. This speaks the power and respect of the cultural function of Tamil Nadu in world . But what is happening in India??

There is always an inequality seen between South India and remaining of India in favor of the latter. These issues add fuel to the flame.

MS Dhoni quits Captaincy..

Mahendra Singh Dhoni also called as Mahi by his teammates retired from the captaincy of Indian cricket team from one day international and t20 formats. He retired from test match and test match captaincy on December of 2014. His last test match was versus Austraia in Melbourne.  Dhoni’s this sudden decision was a shock to all the Indian cricket fans and to the team members. Virat Kohli is named to captain the ODI and t20 formats. He is already the captain of team in longer version.

There were lot of questions from media about his retirement from captaincy fnd the sport itself. Dhoni was fondly remembered for his calmness on field at any given situation. Be it requiring  more than 12 – 15 runs an over or while opposition has to score 3 runs from 3 balls, his calmness has not been beaten.

His unorthodox style of the sport was another unique feature about him. The lighting speed stumping, running out opposition without seeing the stumps, humongous helicopter shots outside stadiums are few of the trademark Dhoni cricketing. Some of his tactical decisions were even a shock to legendary cricketers. Choosing Johinder Sharma over Harbajan Singh in 19th over of a world cup final against Pakistan, providing Ishant Sharma the 18th over of Champions trophy final despite him leaking runs in prior overs, promoting himself up the order in a world cup final and scoring a match winning 91 of 79 were some things that history would always speak of Dhoni.

He was also known for providing ample opportunities to his fellow teammates during his rough patch. Current captain of India in all formats Virat Kohli, players like Rohit sharma, Suresh Raina, etc were believed for their skills and supported heavily during their tough periods. He is a selfless cricketer who always looks out for the Nation’s benefit.

Well Well Well. As Sherlock Holmes says,” The Game is On, Mrs.Hudson”, I have finally started my own blog. What should someone write in a blog ?? Being a fresher in this domain, its a huge question for myself and I might be able to answer probably in a few months. As of now this blog is based on this logical Indian’s(of course me!!) view on things happening around us. BTW this also will include sports, tourism and other entertainment stuffs. So no need to be grumpy. WAKE UP INDIA !!
